Terms of Service

1. Overview
These Terms of Service ("Terms") govern your use of the Saldo.tech platform, including the merchant portal, institution portal, consumer API, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.
Saldo.tech operates a two-sided B2B marketplace connecting merchants who fund card-linked offers with financial institutions who deliver those offers to their cardholders.
2. Merchant Terms
Merchants using the Platform agree to fund offers at the stated reward amount. Charges are applied only upon successful redemption of an offer by a qualifying cardholder. Saldo.tech retains a transaction-based platform fee (the "take rate") from each redemption, as specified in your merchant agreement.
Merchants are responsible for ensuring that all offers comply with applicable laws and regulations in the jurisdictions where they operate. Offers must not be misleading, deceptive, or in violation of any consumer protection laws.
3. Institution Terms
Financial institutions using the Platform agree to the network access fees associated with their pricing tier (Starter, Growth, or Enterprise). Institutions receive a per-redemption payout for each successfully matched offer, as specified in the institution agreement.
Institutions are solely responsible for generating and managing cardholder tokens and card tokens. The mapping between tokens and real cardholder identity must remain within the institution's systems at all times. Institutions must not transmit personally identifiable information (PII) to the Saldo.tech Platform.
4. Data and Privacy
Saldo.tech processes only tokenized identifiers as described in our Privacy Policy. Each party is responsible for compliance with applicable data protection regulations (GDPR, CCPA, LFPDPPP, or other applicable law) with respect to the data they control.
5. Acceptable Use
You agree not to use the Platform to create offers for prohibited goods or services, submit fraudulent transactions, attempt to circumvent security controls, or violate any applicable law or regulation.
6. Intellectual Property
The Platform, including its software, documentation, and branding, is the intellectual property of Saldo.tech. Financial institutions are granted a limited license to use the embeddable widget and API for the purpose of delivering card-linked offers to their cardholders.
7. Limitation of Liability
Saldo.tech provides the Platform on an "as is" and "as available" basis. To the maximum extent permitted by law, Saldo.tech shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
8. Modifications
Saldo.tech reserves the right to modify these Terms at any time. Material changes will be communicated via the Platform or email with at least 30 days' notice. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
